Rocketbox Design Ltd Terms & Conditions [ GENERAL ]

On agreeing to commission work for Rocketbox Design Ltd either by email, text or written. You are bound by the terms & conditions set out below.

1.Ordering
You are legally bound when commissioning work either by email, text or written; verbal agreement is not accepted unless backed up by written confirmation. Rocketbox Design Ltd will supply an estimate on request, number to be quoted on all correspondence. Any work that goes beyond the quoted amount is considered an extra and will be charged at an hourly rate. This would be discussed prior to invoicing.

2.Proofing
Rocketbox Design Ltd will supply proofs at every stage, either by PDF or laser. We will make every effort to ensure your work is error free. However, Rocketbox Design Ltd cannot accept liability for mistakes that are discovered after the document is printed. It is clients responsibility to ensure document is thoroughly proof read.

3.General
On agreeing to commission Rocketbox Design Ltd you will endeavour to supply all files as soon as reasonably possible, we accept no responsibility for failure to meet deadlines due to delays caused by late supply of these.

3.1 All  intellectual property rights including all copyright of all design work (which includes the native design files) created by Rocketbox Design Ltd for a third party are owned by Rocketbox Design Ltd.

3.2 All rights are assigned to client where logo marks are concerned. ALL other artwork including 3rd party files/fonts are NOT for client re-use and will not be supplied for clients own use. Unless otherwise agreed in writing (whereupon a licence to purchase template files can be arranged). Fonts used in template files cannot be re-sold and would need to be purchased by the user – however, we can supply the fonts – it is then the responsibility of the user to purchase font licences. Rocketbox takes no responsibility for additional font licence purchase.

3.3 We can purchase images from a third party (image library) for client use as Rocketbox Design Ltd however, on agreeing to our terms you are also agreeing to the third parties terms in regards to usage.

3.4 All design work is bespoke to clients individual needs and Rocketbox Design Ltd is proud of our creative pedigree, any similarity to other work is purely coincidence.

3.5 Rocketbox Design Ltd will accept no liability for infringement of copyright of customer supplied graphics, logos, photographs and text. We reserve the right to decline material if it is felt to be unsuitable or infringe copyright. Images supplied at low quality will be pointed out to client, if client, once advised of this chooses to continue usage, Rocketbox Design Ltd will not be held responsible for quality of reproduction. Colour correction is left to the discretion of Rocketbox Design Ltd.  When using stock images they are for the job in question and are not for re-use on additional jobs unless a fee is agreed.

3.6 Unless otherwise requested we will source a suitable printing service which we deem to be reliable, ethical and cost effective and arrange printing on your behalf. However, will not accept liability in the actions of the print company.

3.7 All emails, files, images etc. will be stored by Rocketbox Design Ltd for 6 years.

3.8 We reserve the right to use created work for our own promotion unless otherwise agreed .

4 Price & payment
Invoices will be raised on completion of work – and to be paid in full within 14 days unless otherwise agreed. Rocketbox Design Ltd reserves the right to add interest and recover any monies incurred by late payment ie legal fees. Rocketbox Design Ltd reserves the right to ask for part payment up front.

4.1 In the event of failure to settle payments within the specified time, you will be given 7 days written notice of cancellation of all services. If this includes 1 years hosting your site will be taken down with immediate effect after the 7 day period has expired. Regardless of the remaining extent of host period or if the host fee has been paid. Rocketbox Design Ltd reserves the right to suspend a website or stop carrying out services if accounts are not paid on time.

5 Data Protection Policy

• We do not process clients sensitive information files

• Our agreement covers storage/upload of client files for client retrieval

• Client undertakes responsibility for content
– we only store and/or make storage accessible to client

• Information uploaded should be compressed (zip file) and password protected by the client

• We recommend using hard to crack passwords containing upper/lower case/numbers

• The  Web Developer and Creative Director are the only personnel that have access to password protected areas, strictly on an access/maintenance level

• Files are backed up off premises

• Premises are alarmed

• Webspace has encrpyted client area

• Regular back-ups are made by our host (more regular back-ups are available at an additional fee, and can be forwarded to client as a complete compressed file)

6 Your Privacy
We do not share or sell any of your details with third party companies, without your express permission and we will only email you or contact you about work related matters.

7 Website origination
Whilst every endeavor will be made to ensure that the website and any scripts or programs are free of errors, Rocketbox Design Ltd cannot accept responsibility for any losses incurred due to malfunction of the website or any part of it. Rocketbox Design Ltd cannot accept responsibility for any change or amendment to third party APIs or scripts that may incur over time after a website’s launch.

7.1 The website, graphics and any programming code remain the property of Rocketbox Design Ltd until all outstanding accounts are paid in full.

7.2 Any scripts, cgi applications, php scripts, or software (unless specifically agreed) written by Rocketbox Design Ltd remain the copyright of Rocketbox Design Ltd and may only be commercially reproduced or resold with the permission of Rocketbox Design Ltd.

7.3 Rocketbox Design Ltd cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.

7.4 Rocketbox Design Ltd will not be liable to keep an upto date back up of any of its site after the initial launch date. Rocketbox Design Ltd will keep a full back up of the original files and databases from the date of launch and will supply these to the client. Any back ups of clients website required after launch date will need to be agreed with the client and will be chargeable unless prior agreement.

7.5 Golive – After agreed go-live date and our testing has been implemented we operate a 2 week grace period and will action minor* updates and enhancements to the design/content based on user feedback and testing at no charge. Beyond this period amends are chargeable.

8 Database, Application and E-Commerce Development
Rocketbox Design Ltd cannot take responsibility for any losses incurred by the use of any software created for the client. Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the client in ensuring that all software is functioning correctly before use.

8.1 Where applications or sites are developed on servers not recommended by Rocketbox Design Ltd, the client is expected to provide or seek any information, additional software, support or co-operation pertaining to the server required in order for the application to be correctly developed. Where large applications are to be developed, it is the clients responsibility to provide a suitable testing environment which is identical to the final production environment.

8.2 The client is expected to test fully any application or programming relating to a site developed by Rocketbox Design Ltd before being made generally available for use. Where “bugs”, errors or other issues are found after the site is live, Rocketbox Design Ltd will endeavor (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief.

8.3 Our host take backups for all of your files and databases and we will keep them for up to 30 days. This will back up all of the files of your website as well as the databases you have in your account. This allows us to restore your site completely to how it was at the time these backups were taken. On client request, a small charge will incur to restore files.

9 Compatibility
Rocketbox Design Ltd will endeavor to ensure that any developed/designed site or application will function correctly on the server it is initially installed on and that it will function to an acceptable level when viewed with the current standard web browser software (Internet Explorer, Safari, Firefox and Chrome). Rocketbox Design Ltd can offer no guarantees of correct function with all browser software or previous versions of Internet Explorer, Safari, Firefox and Chrome that are not the most recent stable release.

10 Website Hosting
Whilst Rocketbox Design Ltd recommends hosting companies to host websites, no guarantees can be made as to the availability of this service. Rocketbox Design Ltd cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

10.2 Rocketbox Design Ltd reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial.

10.3 We actively encourage all our clients to host under our management this allows us to monitor critical updates – exceptions are if client has use of its own in-house IT department whereby can effectively manage updates. We hold no responsibility for remotely hosted sites we do not manage.

Emails should be setup using a POP3 account using the instructions provided, and are limited to 150mb per mailbox at any one time (this is reflected in your overall hosting quota). If connecting via IMAP, please note your mails will stay stored on the server. When 150mb is reached your mailbox will be full and mails will be returned to sender. If an IMAP account is needed, a hosting account with additional space will be required and you will be charged accordingly for this at an agreed rate. Reaching the 150mb limit can be avoided by taking your own steps to archive emails. Rocketbox hold no responsibility for emails lost or loss of any business due to your mailbox being full.

11 Website Optimisation
We design and build SEO friendly sites. However, due to external factors, such as changes to the way search engines rank websites, we cannot offer any guarantees regarding the position we will achieve for websites. The process of optimizing websites itself will bring in more traffic and hits and you’ll see visits increase to your site naturally. We cannot accept liability for any change in rankings, or drop off in the position of your website due to changes in the algorithms of the search engines or the factors that they use to rank websites.

11.1 Rocketbox Design Ltd use ‘white hat techniques’ when optimising websites and always aim to achieve a top ranking for your website within six months of undertaking the optimisation process.

12 Email
We can offer helpful instruction to setup IT software and hardware (for example, setting up POP accounts). We are happy for you to bring your hardware into us and we can set up for you, but hold no responsibility if you follow our instruction which does not lead to successful setup. In addition, we can not be held responsible for mistakes made by the controller whilst following our instruction. Backups of your whole computer are essential before we can offer advice and you are to act on our advice.

13 Please note, whilst we offer training on all our CMS platforms, it should be understood that the operator should have basic IT skills.
